Introduction

These Terms of Service (the "Terms") constitute a legal agreement between you ("User," "you," or "your") and Klydo, LLC. ("Klydo," "we," "us," or "our"), governing your access to and use of the Vaultleap website located at vaultleap.com, and all related tools, mobile applications, web applications, smart contracts, APIs, and other services offered by or associated with Klydo (collectively, the "Vaultleap Platform" or the "Services").By accessing, browsing, or using the Services, creating an account, or by participating in any Vaults or transactions on the Vaultleap Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

Eligibility and Account Creation

Eligibility To access and use the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. You further represent and warrant that you are not barred from using the Services under any applicable law, including the laws of the United States or any other jurisdiction from which you may access the Services. Account Creation Interface Access To access the Vaultleap Platform interface, you must establish secure access credentials. By creating these credentials, you explicitly acknowledge and agree to: 1. Access Requirements - Provide accurate identification information - Maintain current contact details - Update information promptly when changed - Use only your own credentials 2. Security Responsibilities You are solely responsible for: - Maintaining the security of your private keys - Protecting your blockchain wallet credentials - Securing your interface access information - Preventing unauthorized access 3. Platform Limitations You acknowledge that Klydo: - Cannot recover lost private keys - Cannot access your blockchain wallet - Cannot reverse blockchain transactions - Cannot take custody of your assets - Cannot override smart contract execution 4. Prohibited Actions You agree not to: - Share or transfer access credentials - Allow unauthorized interface access - Attempt to circumvent security measures - Misrepresent your identity or information 5. Security Notifications You must immediately notify Klydo of: - Unauthorized interface access attempts - Suspected security breaches - Compromised access credentials - Lost or stolen authentication factors You acknowledge that you alone control your blockchain assets and that Klydo serves solely as an interface provider. Any actions taken through your interface access credentials are your sole responsibility, whether or not you authorized such actions.

Vaultleap Platform and Services

Non-Custodial Interface The Vaultleap Platform is a non-custodial, decentralized interface that enables users ("Interface Users") to interact with smart contracts on the blockchain network. The platform provides: 1. A user interface for interacting with autonomous smart contracts 2. Technical tools for viewing blockchain data 3. Interface access for smart contract deployment and interaction Importantly, Klydo: - Never takes custody or control of user funds - Cannot access, freeze, or move user assets - Has no ability to reverse or modify smart contract transactions - Functions solely as a technical interface to the blockchain All transactions are executed directly by users through immutable smart contracts on the blockchain network, with users maintaining exclusive control over their private keys and assets at all times. Smart Contract Functionality Through the interface, users can: 1. Create Vaults: Deploy smart contracts that define automated distribution rules 2. Set Allocations: Configure percentage-based distribution parameters 3. Manage Roles: Define recipient designations within the smart contracts 4. Execute Claims: Interact with contracts to claim allocated funds All these functions are executed directly on the blockchain through smart contracts, without Klydo's intervention or control. Smart Contract Interface and Operations The Vaultleap Platform provides a technical interface for interacting with blockchain-based smart contracts ("Vaults"). These smart contracts operate with the following characteristics and limitations: 1. Technical Architecture Smart contracts: - Execute autonomously on the blockchain - Operate independently of Klydo - Follow immutable programmed logic - Maintain self-custodial asset control - Cannot be modified after deployment 2. Vault Development and Deployment Process flow: - Smart contracts are publicly verifiable - Code execution is autonomous - Deployment is user-initiated - Operations are blockchain-controlled - Asset custody remains with users 3. Platform Limitations Klydo explicitly cannot: - Modify deployed smart contracts - Access or control contract funds - Override transaction execution - Alter contract parameters - Take custody of any assets - Influence contract operations 4. User Control Users maintain: - Full asset custody - Transaction authority - Deployment control - Operation verification - Independent decision-making Blockchain Technology The Vaultleap Platform operates exclusively as an interface to blockchain technology, where: 1. All funds remain under user control through blockchain wallets 2. Smart contracts autonomously execute all transactions 3. All operations are verifiable on the public blockchain 4. No operations can be modified or reversed by Klydo Users acknowledge that they are interacting directly with blockchain technology, and Klydo has no control over the underlying blockchain network's operation, maintenance, or functionality. Autonomous Blockchain Operations All platform operations occur through autonomous blockchain execution, with the following structure and limitations: 1. Transaction Execution - All operations execute on-chain - Smart contracts run autonomously - Transactions are cryptographically signed - Operations are mathematically verified 2. Platform Role Klydo's function is limited to: - Providing interface access - Displaying blockchain data - Facilitating contract interaction - Showing transaction status 3. User Acknowledgments Users explicitly acknowledge: - Transaction irreversibility - Smart contract autonomy - Automated execution - Independent operation - User-controlled authorization 4. Operational Independence The platform: - Cannot modify blockchain state - Cannot alter transaction flow - Cannot access user assets - Cannot override contract logic Data Collection and Asset Separation The Vaultleap Platform maintains strict separation between user interface data and blockchain assets: 1. Collected Information Interface Data: - Email communication credentials - Identity verification information - User interface preferences - Platform settings - Support communication records Blockchain Data: - Public address information - Transaction histories - Smart contract interactions - Public blockchain records 2. Data Separation Critical Limitations: - No private key collection or storage - No asset custody capabilities - No blockchain control mechanisms - No transaction authorization access 3. Security Architecture Data Protection: - Encrypted storage systems - Access control protocols - Regular security audits - Data minimization practices Security Architecture and Asset Independence The Vaultleap Platform implements distinct security domains: 1. Blockchain Asset Security User-Controlled: - On-chain asset custody - Private key management - Transaction authorization - Smart contract interaction 2. Platform Security Interface Protection: - Access control systems - Data encryption protocols - Communication security - Interface protection 3. Security Boundaries Clear Separation: - No cross-domain control - Independent security systems - Distinct authorization mechanisms - Separate operational protocols 4. Security Limitations Platform Cannot: - Bridge security domains - Override blockchain security - Access user assets - Modify blockchain state Fund Distribution The platform facilitates fund distribution through smart contracts where: 1. All funds remain in self-custodial blockchain wallets 2. Distribution rules are executed by autonomous smart contracts 3. Klydo cannot access or control any funds 4. Users maintain complete control over their assets No Guarantee of Funds Klydo provides only the technical interface and: 1. Does not guarantee vault funding 2. Cannot ensure fund distribution 3. Has no control over user actions 4. Is not responsible for: - Smart contract execution - User transaction decisions - Blockchain network operations - Fund availability or transfers Nature of Vaultleap Vaultleap represent smart contract-based distribution mechanisms and: 1. Are NOT: - Securities - Equity instruments - Ownership interests - Investment contracts - Financial instruments 2. DO NOT provide: - Voting rights - Governance powers - Ownership claims - Company equity - Management rights 3. ARE: - Smart contract parameters - Distribution mechanisms - Technical configurations - Blockchain-based allocations The value and functionality of Vaultleap are determined solely by the underlying smart contracts and are not tied to Klydo's valuation or performance. Technical Limitations Users explicitly acknowledge that Klydo: 1. Cannot: - Recover lost keys or passwords - Reverse blockchain transactions - Modify smart contract execution - Access user funds - Control blockchain operations 2. Serves only to: - Display blockchain data - Provide interface access - Facilitate smart contract interaction - Enable technical functionality User Responsibility Users understand and accept that they are: 1. Solely responsible for: - Private key security - Transaction verification - Smart contract interaction - Fund management - Blockchain operations 2. Interacting directly with: - Blockchain networks - Smart contracts - Autonomous systems - Immutable transactions

User Responsibilities and Prohibited Activities

User Responsibilities As a user of the Services, you agree to: a. Comply with all applicable laws and regulations when using the Services; b. Provide accurate and truthful information when creating an Account and participating in Vaults; c. Use the Services only for their intended purposes and in accordance with these Terms; d. Not engage in any fraudulent, deceptive, or misleading activities on the Vaultleap Platform; e. Maintain the security and confidentiality of your Account information, including your private keys. Prohibited Activities When using the Services, you agree not to: a. Violate any applicable federal, state, local, or international law or regulation; b. Infringe on Klydo's or any third party's intellectual property rights; c. Use the Services to distribute unsolicited commercial email or engage in any automated or unsolicited advertising or marketing; d. Impersonate or misrepresent your affiliation with any person or entity; e. Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services; f. Attempt to gain unauthorized access to the Services, user Accounts, or the underlying blockchain network; g. Use the Services to engage in any form of money laundering, terrorist financing, or other illegal activities.

None of the content provided on the Site, Services, or by Klydo, its representatives, moderators, or staff constitutes financial, investment, legal, tax, or other professional advice. No Recommendations or Endorsements Klydo does not recommend or endorse any specific cryptocurrencies, tokens, projects, or strategies. Any information, opinions, or recommendations expressed by Klydo, its representatives, moderators, or staff are solely their own and do not reflect the views or opinions of Klydo as a company. No Liability for User Decisions Users are solely responsible for their own financial decisions and for conducting their own research and due diligence before making any investment or financial decisions. Klydo shall not be liable for any actions taken or not taken by users based on any information provided through the Services. By using the Services and providing this information, you consent to Klydo's collection, storage, and use of such information for tax reporting purposes. Electronic Delivery of Tax Forms Klydo will provide users with the necessary tax forms, such as 1099 forms, electronically. By using the Services, you consent to receive these tax forms electronically and agree to provide Klydo with a valid email address for the delivery of such forms. It is your responsibility to ensure that the email address provided to Klydo is accurate and up-to-date. You have the right to revoke your consent for electronic delivery at any time and request paper copies of your tax forms. Fees and Taxes

Fees The use of the Vaultleap Platform may be subject to certain fees, including but not limited to transaction fees, gas fees, or other fees associated with the underlying blockchain network. By using the Services, you agree to pay all applicable fees. Klydo reserves the right to change its fee structure at any time, with or without notice to users. Taxes You are solely responsible for determining any taxes arising from your use of the Services, including your participation in Vaults or receipt of Vault funds. Klydo is not responsible for determining, collecting, reporting, or remitting any taxes on your behalf.

Intellectual Property

Klydo's Trademarks and Service Marks "Vaultleap," "Profit Switch," and any other product or service names, logos, and slogans displayed on the Services are trademarks or service marks owned by Klydo or its licensors. You may not use, copy, reproduce, distribute, modify, transmit, display, publish, or create derivative works from any such trademarks or service marks without Klydo's prior written consent. Klydo respects the intellectual property rights of others and expects its users to do the same. It is our policy to respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Klydo's copyright agent with the necessary information in accordance with the DMCA.

Disclaimers and Limitations of Liability

KLYDO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. KLYDO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE SERVICES. KLYDO SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM ANY UNAUTHORIZED USE OF YOUR ACCOUNT OR ANY BREACH OF THESE TERMS BY YOU OR ANY THIRD PARTY. Indemnification

You agree to indemnify, defend, and hold harmless Klydo, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your participation in Vaults, or your violation of any rights of another user or third party.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California, and the arbitral award shall be final and binding upon the parties. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or enforce these Terms.

Changes to Terms

Klydo reserves the right to modify these Terms at any time, in its sole discretion. When we make changes to these Terms, we will post the updated Terms on the Site and update the "Last Updated" date at the top of these Terms. Your continued use of the Services after the posting of the updated Terms constitutes your acceptance of such changes.

Miscellaneous

Entire Agreement These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire and exclusive understanding and agreement between you and Klydo regarding the Services, and supersede and replace all prior oral or written understandings or agreements between you and Klydo regarding the Services. Waiver and Severability The failure of Klydo to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of these Terms will continue in full force and effect. Governing Law These Terms and any dispute or claim arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.
